Negotiating a New Lease

What are 'Heads of Terms'?

Heads of Terms is a preliminary, usually non-binding document that outlines the main points of the lease, such as rent, term length, and break clauses. It is a crucial document that forms the foundation of the final, binding lease agreement.

What is a 'FRI' lease?

A "Full Repairing and Insuring" (FRI) lease is common in commercial property. It means the tenant is responsible for all costs of repairing and insuring the property. It is vital to understand the extent of these obligations before you sign.

What is a break clause?

A break clause is a term in a lease that allows either the landlord or the tenant (or both) to end the lease early, provided certain conditions are met. We can negotiate these clauses on your behalf and advise on how to exercise them correctly.

What is 'Security of Tenure'?

Under the Landlord and Tenant Act 1954, most commercial tenants have a statutory right to renew their lease on similar terms when it expires. This is known as 'security of tenure' and provides valuable protection for your business.

What is a Section 25 or Section 26 Notice?

A Section 25 notice is served by a landlord to either propose new terms for a renewal or to oppose a renewal on specific legal grounds. A Section 26 notice is served by a tenant to request a new lease. Strict time limits apply to these notices.

What happens if we cannot agree on the new rent?

If the new rent cannot be agreed, either party can apply to the Court or an independent third party (under PACT) to determine the new market rent for the property. We are experienced negotiators and can represent you throughout this process.
