Negotiating & Drafting a New Lease

Heads of Terms (HOTs) are a summary of the main commercial terms agreed between a landlord and tenant before the formal lease is drafted. While usually not legally binding, they are a crucial roadmap for the transaction.

This depends on the lease. A 'Full Repairing and Insuring' (FRI) lease makes the tenant responsible for all repairs. This is a critical point of negotiation, as the state of the property at the start can lead to a significant 'dilapidations' claim at the end.

A break clause allows a tenant (and sometimes a landlord) to terminate the lease early. For a tenant, it provides valuable flexibility if your business needs change. For a landlord, it offers a way to regain the property. The conditions must be negotiated carefully.

This is a key piece of legislation that can give business tenants the automatic right to a new lease when their current one expires ('security of tenure'). Leases can be drafted "inside" or "outside" this Act, which is a major point of negotiation.

Alienation clauses control the tenant's ability to transfer or 'alienate' the lease. This covers your right to a lease assignment (transferring the whole lease) or to sublet the property. These terms are vital for your future flexibility.

Managing an Existing Lease

If your lease is protected by the 1954 Act, you have a right to request a new lease. If not, you have no automatic right to stay. We can advise you on the statutory process for lease renewals well in advance of the expiry date.

The lease will specify when and how the rent is reviewed, usually every 3 or 5 years and typically based on the 'open market rent'. We can advise on the process and negotiate on your behalf to ensure a fair outcome.

A lease is a binding contract. If you are struggling, you must seek legal advice immediately. We can help you explore your options, which may include negotiating a temporary concession with your landlord, assigning the lease, or subletting.

Dilapidations refer to the repairs and reinstatement works a tenant is obliged to carry out at the end of their lease. A landlord will typically serve a 'schedule of dilapidations' setting out the required works and costs, which can often be negotiated.
