Navigating the Critical Legal Hurdles

A successful lease assignment depends on getting the details right. Our solicitors have the specialist experience to protect you from the common pitfalls that can derail a transfer.

Landlord's Consent

We manage the formal application to the landlord, ensuring all required information is provided promptly to avoid unreasonable delays or a refusal.

Authorised Guarantee Agreements (AGAs)

We advise outgoing tenants on their obligations under an AGA, which can make you liable for the new tenant's rent if they default. We work to minimise this risk.

Comprehensive Due Diligence

For incoming tenants, we conduct a thorough review of the lease, title, and all associated documents to ensure there are no surprises waiting for you.

Your Lease Assignment Questions Answered

For Assignors (Existing Tenants)

Can my landlord refuse to let me assign the lease?

A landlord cannot "unreasonably" withhold consent, but they can refuse if the incoming tenant is not financially stable or if there is a breach of the lease. We manage the application process to maximise your chances of a successful consent.

What is an Authorised Guarantee Agreement (AGA)?

An AGA is a document that most landlords will require you (the outgoing tenant) to sign. It makes you a guarantor for the incoming tenant, meaning you could be liable if they fail to pay rent. We can advise on the risks and negotiate its terms.

What if I'm also selling the business run from the premises?

This is very common. The lease assignment is handled alongside the business sale. We can manage both aspects, including the legal transfer of assets and the assignment of goodwill, ensuring a coordinated and seamless transaction.

For Assignees (Incoming Tenants)

What due diligence is needed when taking over a lease?

We conduct a full review of the commercial lease to ensure you understand all obligations, including repair costs (dilapidations), rent review clauses, and any restrictions on use. We also perform all necessary property searches.

Will I be responsible for existing damages to the property?

Yes, unless properly documented. When taking over a lease, you typically inherit the repairing obligations. It is vital to have a Schedule of Condition prepared to document the property's state at the start, limiting your future liability.

What is a Licence to Assign?

This is a formal legal document from the landlord that grants permission for the lease to be assigned from the old tenant to you. We review this licence to ensure its terms are fair and do not place unreasonable obligations on you.
